1. INTRODUCTION

1.1. These are the terms and conditions governing the use of the website https://skitso.gr and the agreement that operates between us and You (hereinafter, together, "the Terms").

1.2. These Terms constitute an agreement between You on the one hand, and SKITSO E.E., a Greek Limited Partnership, with registered offices at Gr. Palama 11, 54622 Thessaloniki, with VAT ID 081660480 and registered G.E.M.I. number 038045905000 on the other hand, in relation to your use of the Website, the goods/services offered and sold through this Website, and any orders You place through the Website (collectively, the “SKITSO Services"). Before You place an order, please carefully read these Terms and our Privacy Policy. If You do not agree to the Terms and the Privacy Policy, do not place an order.

1.3. Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms from time to time. We will alert You about any changes by updating the 'Last updated' date of these Legal Terms, and You waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Services after the date such revised Legal Terms are posted.

2. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username You select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

3. SERVICE AVAILABILITY

The items we offer on this website are available Worldwide.

4. HOW THE CONTRACT IS FORMED

4.1. The information set out in the Terms and the details contained on this website do not constitute an offer for sale but rather an invitation to treat. No contract in respect of any products shall exist between You and us until your order has been accepted by us. If we do not accept your offer and funds have already been deducted from your account, these will be fully refunded.

4.2. To place an order, You will be required to follow the shopping process online and press the "Submit order" button to submit your order. After this, You will receive an e-mail from us acknowledging that we have received your order (the "Order Confirmation"). The Order Confirmation will not include freight costs as they will be calculated once the order is ready to be dispatched.

Please note that receiving an Order Confirmation does not mean that your order has been accepted, as your order constitutes your offer to us to buy products from us. All orders are subject to acceptance by us, and we will confirm such acceptance to You by sending You an e-mail that confirms that the products are ready to be dispatched and the "Proforma invoice" for your order including freight costs. The contract for the purchase of a product between us (the “Contract”) will only be formed when we send You the Proforma Invoice. The products will be dispatched only after the payment of any balance due for your order.

4.3. The Contract will relate only to those products whose dispatch we have confirmed in the Proforma invoice. We will not be bound to supply any other products which may have been part of your order until the dispatch of such products has been confirmed in a separate Proforma invoice.

5. AVAILABILITY OF PRODUCTS

All orders for products are subject to availability and in this regard, in the event of supply difficulties or because products are no longer in stock, we reserve the right to give You information about substitute products of an equal or higher quality and value which You can order. If You do not wish to order such substitute products, we will refund any monies that You might have paid.

6. DISPLAY OF PRODUCTS

We make every effort to display as accurately as possible the colours, features, specifications, and details of the products available on the Services. However, we do not guarantee that the colours, features, specifications, and details of the products will be accurate, complete, reliable, current, or free of other errors, and your electronic display may not accurately reflect the actual colours and details of the products.

7. REFUSAL OF ORDER

7.1. We reserve the right to withdraw any Product from this website at any time and/or remove or edit any materials or content on this website. Whilst we will make our best efforts to always process all the orders, there may be exceptional circumstances which mean that we may need to refuse to process an order after we have sent You an Order Confirmation, which we reserve the right to do at any time, at our sole discretion.

7.2. We will not be liable to You or any other third party by reason of our withdrawing any product from this website, whether it has been sold or not, removing or editing any materials or contents on this website or for refusing to process or accept an order after we have sent You the Order Confirmation.

8. MINIMUM ORDER QUANTITY

SKITSO is addressed to wholesale clients and for this purpose there is a minimum order quantity for all purchases made through our Services. The minimum order quantity is three (3) items per category (e.g. at least three Table lamps or at least three Standing lamps).

9. DELIVERY

9.1. Subject to the provisions of Clause 7 above, and unless there are any exceptional circumstances, we will endeavor to fulfill your order for product(s) listed in the Proforma invoice by the delivery dates stipulated in the “ section of the Services.

9.2. Reasons for delay could include:

  1. Customization of products;
  2. Specialized items;
  3. Unforeseen circumstances;
  4. Delivery area;
  5. Unforeseen workload.

9.3. If for some reason we are unable to deliver on this date we will inform You of this situation and give You the option to continue with the purchase with a new delivery date or alternatively cancelling the order and reimbursing You with the full amount paid. Please remember that we do not deliver on Saturdays or Sundays.

9.4. For the purposes of these Conditions, the "delivery" shall be deemed to have taken place or that the order has been delivered at the time that receipt of the order is signed for at the agreed delivery address.

10. RISK AND TITLE

10.1. The Products will be at your risk from the time of delivery.

10.2. Ownership of the products will only pass to You when we receive full payment of all sums due in respect of the products, including delivery charges, or upon delivery (as defined in clause 9 above), should this be later.

11.2. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, TAX ID, company details, payment method, and payment card expiration date, so that we can complete your transactions and contact You as needed. We may change prices at any time. All payments shall be in Euros.

11.3. You agree to pay all charges at the prices then in effect for your purchases and any applicable shipping fees, and You authorise us to charge your chosen payment provider for any such amounts upon placing your order.

11.4. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

11.5. The price of the products shall be the one quoted from time to time on our website, except where there is an apparent error. Whilst we take care to ensure that all prices quoted on our website are accurate, errors may occur. If we discover an error in the price of any product(s) You have ordered, we will inform You as soon as possible and give You the option of reconfirming the order at the correct price or cancelling it. If we are unable to contact You, the order will be treated as cancelled and if You have already paid for the product(s) You will receive a full refund.

11.6. We are under no obligation to sell the product(s) to You at the incorrect (lower) price (even after we have sent You a Proforma invoice) if the pricing error is obvious and unmistakable and could have reasonably been recognized by You as such.

11.7. The prices displayed on our website exclude delivery costs, which will be added to the total amount due calculated at check out. Custom duties and import fees are also excluded.

11.8. Prices may change at any time but (except as provided above) any potential change will not affect any order regarding which a Proforma invoice has been sent.

11.9. Once You have finished shopping, all the items You wish to purchase are added to your basket. Your next step will be to go through the checkout process and make payment.

12. WARRANTY, RETURNS & CANCELLATIONS

12.1. Please review our Cancellations  posted on the Services prior to making any purchases.

12.2. Cancellations are only accepted before the production of the products has begun. If the order has gone into production prior to the cancellation, we cannot cancel the transaction. 12.3. Ιn the event of products being damaged during transportation, thus rendering them eligible for return, you are requested to notify us immediately of such event so that the costs for the return shipment can be covered by the transportation company according to their insurance policy. We also kindly ask you to send us a photo of the broken item if applicable.

13. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the 'Content'), as well as the trademarks, service marks, and logos contained therein (the 'Marks').

If we remove or edit any such Contributions, we may also suspend or disable your account and report You to the authorities.

18.3. 20.1. All notices given by You to us should be given to us preferably via email. Subject to and as otherwise specified in clause 21 above, we may give notice to You at either the e-mail or postal address You provide to us when placing an order.

20.2. Notice will be deemed received and properly served immediately when posted on our website, 24 hours after an e-mail is sent, or three days after the date of posting of any letter. In proving the service of any notice, it will be sufficient to prove, in the case of a letter, that such letter was properly addressed, stamped and placed in the post and, in the case of an e-mail that such e-mail was sent to the specified e-mail address of the addressee.

21. TRANSFER OF RIGHTS AND OBLIGATIONS

21.1. The Contract between You and us is binding on You and us and on our respective successors and assigns.

21.2. You may not transfer, assign, charge or otherwise dispose of a Contract, or any of your rights or obligations arising under it, without our prior written consent.

21.3. We may transfer, assign, charge, sub-contract or otherwise dispose of a Contract, or any of our rights or obligations arising under it, at any time during the term of the Contract. For the avoidance of doubt, any such transfer, assignment, charge or other disposition will not affect your statutory rights as a consumer or cancel, reduce or otherwise limit any warranty or guarantee which may have been provided by us to You, whether express or implied.

22. EVENTS OUTSIDE OUR CONTROL

22.1. We will not be liable or responsible for any failure to perform, or delay in performance of any of our obligations under a Contract that is caused by events outside our reasonable control ("Force Majeure Event").

22.2. A Force Majeure Event shall include any act, event, non-happening, omission or accident beyond our reasonable control and shall include in particular (without limitation) the following:

(1) Strikes, lock-outs or other industrial action.

(2) Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war.

(3) Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster.

(4) Impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.

(5) Impossibility of the use of public or private telecommunications networks.

(6) The acts, decrees, legislation, regulations or restrictions of any government.

(7) Any shipping, postal or other relevant transport strike, failure or accidents.

22.3. Our performance under any Contract is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavors to bring the Force Majeure Event to a close or to find a solution by which our obligations under the Contract may be performed despite the Force Majeure Event.

23. WAIVER

23.1. If we fail, at any time during the term of a Contract, to insist upon strict performance of any of your obligations under the Contract or any of these terms and conditions, or if we fail to exercise any of the rights or remedies to which we are entitled under the Contract, this shall not constitute a waiver of such rights or remedies and shall not relieve You from compliance with such obligations.

23.2. A waiver by us of any default shall not constitute a waiver of any subsequent default. No waiver by us of any of these Terms shall be effective unless it is expressly stated to be a waiver and is communicated to You in writing in accordance with the provisions of the paragraph on Notices above.

24. SEVERABILITY

If any of these Terms or any provisions of a Contract are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.

25. ENTIRE AGREEMENT

25.1. These Terms and any document expressly referred to in them represent the entire agreement between You and us in relation to the subject matter of any Contract and supersede any prior agreement, understanding or arrangement between You and us, whether oral or in writing.

25.2. Both You and us acknowledge that, in entering into this Contract, neither You nor us has relied on any representation, undertaking or promise given by the other or be implied from anything said or written in negotiations between You and us prior to such Contract except as expressly stated in these Terms.

25.3. Neither You nor us shall have any remedy in respect of any untrue statement made by the other, whether orally or in writing, prior to the date of any Contract (unless such untrue statement was made fraudulently) and the other party's only remedy shall be for breach of the Contract as provided in these Terms.

26. OUR RIGHT TO VARY THESE TERMS

26.1. We have the right to revise and amend these Terms from time to time.

26.2. You will be subject to the policies and Terms in force at the time that You order products from us, unless any change to those policies, Terms or Privacy Statement is required to be made by law or governmental authority, in which case it will apply to orders previously placed by You.

27. INDEMNITY

You agree to indemnify and hold us and our Team harmless from any losses, including attorney fees that result from any claims you make that aren’t allowed under these Terms due to a “Limitation of Liability” or other provision. (Indemnity is an agreement to compensate someone for a loss.) You also agree to indemnify and hold us harmless from any losses, including attorney fees, that result from third-party claims that you or someone using your password did something that, if true, would violate any of these Terms.

28. ATTORNEY FEES

If we file an action against you claiming you breached these Terms and we prevail, we’re entitled to recover reasonable attorney fees and any damages or other relief we may be awarded.

29. EQUITABLE RELIEF

If you violate these Terms then we may seek injunctive relief (meaning we may request a court order to stop you) or other equitable relief.

30. LAW AND JURISDICTION

The use of our website and the contracts for the purchase of products through such website will be governed by Greek law. Any dispute arising from, or related to the use of the website or to such Contracts shall be subject to the non-exclusive jurisdiction of the Courts of Thessaloniki. If You are contracting as a consumer, nothing in this clause will affect your statutory rights as such.
